Developer, Contractor & Intellectual Property Agreement
Terms for developers, agencies, contractors, designers, and other technical contributors working on OnCampusDaily.
1. Who this applies to
This agreement applies to any developer, agency, contractor, designer, or other technical contributor engaged to work on the OnCampusDaily platform, its codebase, infrastructure, or related materials ("Contractor", "you"). It is referenced here as part of the Legal & Policies center for completeness; the operative version signed with a specific contractor may include additional commercial terms not repeated here.
2. Confidentiality
You must keep confidential all non-public information you access in the course of your engagement, including source code, credentials, user data, business plans, and unreleased features, and use it only for the purposes of your engagement.
3. Intellectual property assignment
Unless otherwise agreed in writing, all source code, designs, documentation, and other work product you create in the course of your engagement ("Work Product") is a work made for hire to the fullest extent permitted by law, and to the extent it is not, you assign all right, title, and interest in the Work Product to OnCampusDaily. This does not extend to your own pre-existing tools or generic libraries not created for OnCampusDaily, which you may retain ownership of provided you grant OnCampusDaily a sufficient license to use them as integrated into the Platform.
4. Open-source and third-party licenses
You must disclose any open-source or third-party licensed component you incorporate into the Work Product, and ensure its license is compatible with OnCampusDaily's use of the Platform. You must not incorporate a component under a license that would require OnCampusDaily to disclose its own proprietary source code, without our prior written approval.
5. Security obligations
You must not introduce malicious code, backdoors, or unauthorized access mechanisms into the Platform. You must use only the access credentials and permissions granted to you for your engagement, and must not access data or systems beyond what your engagement requires. If you discover a security vulnerability, you must report it to OnCampusDaily promptly rather than exploiting, publicizing, or ignoring it.
6. Data protection
Where your engagement gives you access to personal data, you must handle it consistently with the Privacy & Data Protection Policy and only to the extent necessary for your engagement.
7. Security incident notification
You must notify OnCampusDaily promptly if you become aware of a security incident, data breach, or unauthorized access involving the Platform or its data, whether or not you caused it.
8. Post-termination obligations
On termination of your engagement, you must return or securely delete any confidential information, credentials, and copies of the Work Product in your possession that are not otherwise required to be retained by law, and your access to OnCampusDaily systems will be revoked. Your confidentiality and intellectual-property obligations survive termination.
